1. there is no previous sale or agreement for thesale of the Property or any part or portion thereof which is still subsisting　and which has not been validly and lawfully terminated or rescinded and that　there are no claims or interests in relation to or affecting the Property save and except for those which has been mentioned;

2. that the Vendor(s) will not from the date hereof without the prior written consent of the Purchaser(s) execute or cause to be executed any encumbrances over the said Property or any part thereof;

4.  that the Vendor(s) has/have not committed any act which would lead to anybankruptcy proceedings being presented against him/her/them;

5. that the Vendor(s) has/have not infringed or defaulted inthe observance of any bye-laws or regulations relating to the operation ormaintenance of the said Property, or the conditions of the issue documents oftitle to the said Property, which may result in the Purchaser(s) not being ableto have full and quiet enjoyment of the said Property or be liable for anypenalty or fine;
