8.\x05CONSULTANT will not advertise the fact or nature of the consultancy with IBM.CONSULTANT will not use IBM's name or trademarks in any way not previously approved by IBM.
INTELLECTUAL PROPERTY
9.\x05CONSULTANT shall,during and after the term of the consulting relationship with IBM,disclose promptly to IBM,in writing,all ideas,inventions and discoveries related to IBM's business and resulting from CONSULTANT's knowledge of IBM's proprietary information,whether or not developed during the performance of consulting duties and obligations or on the property of IBM.Such ideas,inventions and discoveries shall be the property of IBM and it shall have the right to any patents and any other intellectual property with respect to the same.CONSULTANT hereby assigns and transfers to IBM,its successors or nominees,all its rights,title and interest in any such patents and other intellectual property.CONSULTANT agrees to sign all applications,assignments,lab books,and other papers,and do such things as IBM may require for establishing and protecting its rights of ownership and to effectuate the foregoing,both during its consulting relationship with IBM and thereafter.
10.\x05To the extent possible under applicable law (i) IBM shall be the owner of the copyright in,and shall have the right to use,all works created by it in the course and in furtherance of its consultancy with IBM; and (ii) CONSULTANT hereby assigns and transfers such copyright to IBM.CONSULTANT shall cooperate in all steps necessary to establish and protect IBM's ownership and usage rights in such works.
11.\x05With respect to inventions,patented or unpatented,made or conceived by CONSULTANT and relating to IBM's business which IBM does not wish to utilize,IBM may,on written application by CONSULTANT to IBM,grant a waiver or release of the provisions of Paragraph 9 of this agreement.
OTHER PROPERTY
12.\x05All materials created by CONSULTANT during the course of this relationship shall be and remain the property of IBM.Materials include,but are not limited to,samples,prototypes,reports,surveys,videotapes and transcriptions.All materials provided by IBM shall be promptly returned to IBM by CONSULTANT upon the termination of the relationship or upon demand by IBM.
TERMINATION
13.\x05This agreement shall be for a term of insert term of agreement for example one (1) year unless terminated or extended in writing,signed by both parties.This agreement may be terminated on insert number of days to terminate agreement for example:thirty (30) days' notice in writing.Notwithstanding the foregoing,the obligations of the parties under paragraphs 5,7,9 and 10,and all other provisions which survive by their nature,shall survive the termination or expiration of this agreement.
