Article 4.　Confidentiality Obligations
4.1 (Confidentiality Obligation) During the life of this Agreement and after any termination or expiration hereof,Distributor shall keep confidential the information disclosed hereunder by Supplier and shall not use such information for other purpose than the distribution of Products.
4.2 (Restriction on Dissemination) Distributor may disseminate the information disclosed to Distributor hereunder to the employees of Distributor only on need to know basis.Provided,however,that such employees shall abide by the confidentiality obligations as if they were Distributor itself.
4.3 (Exception) Confidentiality obligations set forth in this Article shall not apply to the information:
(1) which entered the public domain at the disclosure;
(2) which will enter the public domain after the disclosure through no fault of Distributor; or
(3) which is received from a third party without confidentiality obligation:
Article 5.　Market Information and Report
Both Supplier and Distributor shall periodically and/or on the request of either party furnish each other information and market reports necessary to promote the sale of Products.Distributor shall periodically provide Supplier with reports on market conditions,inventory,sales and other activities of Distributor related to Products.
Article 6.　Compliance with Laws
Distributor shall comply with all laws,rules and regulations applicable to its activities pursuant to this Agreement,procure and maintain all licenses and permits necessary for carrying out its business and conducting its business in a manner so as not to adversely affect the reputation of Products,Supplier or the manufacturer(s) of Products.

4.1 (Confidentiality Obligation) During the life of this Agreement and after any termination or expiration hereof,Distributor shall keep confidential the information disclosed hereunder by Supplier and shall not use such information for other purpose than the distribution of Products.在本协议有效期内及任何终止或逾期后,经销商应保持供应商根据本协议要求披露之信息的机密性,不得将此类信息用于除产品经销之外的其他目的.
4.2 (Restriction on Dissemination) Distributor may disseminate the information disclosed to Distributor hereunder to the employees of Distributor only on need to know basis.Provided,however,that such employees shall abide by the confidentiality obligations as if they were Distributor itself.（传播限制）经销商可将根据本协议要求披露给经销商的信息传播给有必要了解该信息的经销商员工,但此类员工应和经销商一样遵守保密义务.
4.3 (Exception) Confidentiality obligations set forth in this Article shall not apply to the information:（例外）本协议项下的保密义务不适用于下列信息：

Article 5.　Market Information and Report 第5条 市场信息和报告
Both Supplier and Distributor shall periodically and/or on the request of either party furnish each other information and market reports necessary to promote the sale of Products.供应商和经销商均应定期和/或经一方请求向另一方提供推销产品所必需的信息和市场报告.Distributor shall periodically provide Supplier with reports on market conditions,inventory,sales and other activities of Distributor related to Products.经销商应定期向供应商提供有关市场状况、存货、销售额和其他与产品相关之经销商活动的报告.
Article 6.　Compliance with Laws 第6条 遵守法律
